Heritage House Wish List Agreement
Agreement between Heritage House '76, Inc. and Applicant This Agreement contains the complete terms and conditions that apply to your participation in the Heritage House Wish List Program (referred to below as "Program"). As used below, "we" means Heritage House '76, Inc., and "you" and “your” means the applicant. "Site" means a site on the World Wide Web and can refer to our web sites: (www.heritagehouse76.com, www.hh76.com, www.hh76-ca.com) or your Wish List site found at www.CPCDonations.org or www.RTLDonations.org. Enrollment Enrollment starts by you submitting a completed Heritage Wish List Program application on our web site (www.hh76.com/wishlist). We will evaluate your application and determine your organization’s suitability for the Program at our sole discretion. We reserve the right to approve or reject your application for any and all reasons. Examples of applications that will be rejected are those from: 1) Unsuitable organizations including those that do not promote pro-life, pro-family, or pro-abstinence viewpoints, as well as any organizations that promote violence, sexually explicit materials, illegal or discriminatory activities, have ties to other organizations promoting any of the aforementioned items, or violate copyright or trademark laws (based on our sole estimation). 2) Organizations that are found to have filed false information during the application process including those whose claim of being a 501(c)3 organization is challenged. 3) Organizations that we have accepted and later find are unsuitable for our Program (at our sole discretion). We may terminate the Agreement at any time. Wish List Site Creation The creation of the Wish List site is completely in the hands of the applicant. Online interfaces to add products, define what they are needed for, and track sales of products will be provided. You are solely responsible for all user input aspects of your Wish List web site, including product choices, need explanations, etc. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including attorneys' fees without limitation) relating to any aspect of your site that is controlled by you through the interface provided. Order Processing We will process all orders coming through your Wish List site. We reserve the right to refuse any orders that do not comply with our general processing procedures. We are responsible for all aspects of the ordering and fulfillment procedure, including collecting payment, refunds, returns, cancellations, and customer service. Eligible Products (subject to change without notice at any time): All products offered for sale on the web sites www.heritagehouse76.com, www.hh76.com, or www.hh76-ca.com Ineligible Products No products offered on our web sites are currently ineligible. Products can become ineligible at any time. Restrictions 1. You may not intercept, modify, or interfere with any electronic data submitted to us from customers on your site. 2. You may not take any action that would confuse the customer about the relationship between you and Heritage House '76, Inc. Tax Liability All tax liability is assumed by the applicant including but not limited to IRS taxes and fees, lawyer fees, and tax advisor fees. Any dispute about the deductibility of the gift-in-kind donation is the responsibility of the applicant. Heritage House '76, Inc. makes no claims as to the interpretation of the tax code or IRS rules. Receipts Heritage House '76, Inc. provides a receipt to the person or organization purchasing the product for you as a courtesy only. The receipt in no way verifies the tax status of the organization to which the items were donated. The receipt is not any type of proof that the donation is or is not tax deductible. Your organization is required to supply a proper gift-in-kind receipt for each donation. For any questions regarding the deductibility of gift-in-kind items please see www.irs.gov If you are a Non-Profit 501(c)3 Organization Only applicants who maintain a current 501(c)3 designation are able to so state on their Site within the Heritage House Wish List Program. If the applicant loses the 501(c)3 designation, they must immediately notify Heritage House '76, Inc. and remove any reference it on their Site. Policies and Pricing Customers who buy products through this Program will be deemed to be customers of Heritage House '76, Inc. All Heritage House '76, Inc. policies and procedures apply to these and all customers without regard to those of the referring organization. Our policies and procedures may change at any time without notice. Contact Channels Heritage House '76, Inc. will contact members of the Heritage House Wish List Program through the primary email address. We reserve the right to send emails to our Wish List subscribers on a regular basis to update them with changes to the Agreement, changes to the Program, or to advertise new products / Programs. We will not sell, trade, or give away this list of contacts to another company for purposes of marketing or mass communication. Limited License Heritage House '76, Inc. grants you a nonexclusive, revocable right to use the graphic "Heritage House Wish List" to identify you as a Heritage House Wish List member. You may not modify the graphic image in any way, except for resizing. We reserve all rights to our graphic images, text, trade trademarks, and all other intellectual property rights. We may revoke your license at any time by giving you written or electronic notice. Term of the Agreement The term of this Agreement begins when your application is accepted and ends whenever terminated by either party for any and all reasons. Upon termination by either party, you will immediately remove from your site all references and links to our web sites as well as logos that we have provided. Modification We reserve the right to modify any of the terms and conditions of this Agreement. These changes may occur at any time and will be made by posting a new Agreement on our websites. Your continued participation in the Program after changes are made constitutes your acceptance of these changes. Relationship of Parties The relationship described in this Agreement convenes no privilege or financial advantage to you or your organization beyond the ability to compile and display your wish list. You do not have the authority to make contracts or accept offers on behalf of Heritage House '76, Inc. Further, you are not in any way acting as an employee for Heritage House '76, Inc. Limitation of Liability We are not liable for direct, special or consequential damages including loss of revenue in connection with this Agreement. Disclaimers We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. Arbitration Any dispute relating to this Agreement shall be submitted for arbitration in Phoenix, Arizona. Arbitration shall be processed under the prevailing rules of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise. Miscellaneous This Agreement will be governed by the laws of the United States and the state of Arizona, without reference to rules governing choice of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. By submitting the "Heritage Wish List Program Application" you acknowledge that you have read this Agreement, agree to all of its terms and conditions, and have authority to enter into this Agreement on behalf of your organization.
